TERMS & CONDITIONS
Effective Date: August 2, 2026
These Terms & Conditions include the general Terms of Use for the ABFI LLC website and online resources, as well as the terms governing the ABFI LLC SMS and MMS messaging program.
1. Acceptance of These Terms
By accessing or using the website located at https://www.abfiaccounting.com (the “Website”), submitting an online form, registering for or attending an ABFI LLC online meeting, accessing a recording, downloading materials, or otherwise using an online resource made available by ABFI LLC (“ABFI,” “we,” “us,” or “our”), you agree to these Terms & Conditions (“Terms”).
If you do not agree to these Terms, do not use the Website or the applicable online resource.
If you use an ABFI LLC online resource on behalf of a business or other organization, you represent that you have the authority to act for and bind that organization.
2. Scope of These Terms
These Terms apply to ABFI LLC’s public Website and general online resources, including:

Contact and consultation forms;

Qualification and assessment forms;

Appointment-scheduling pages;
-
Meeting-registration pages;
-
Online meetings;
-
Recordings and transcripts;
-
Downloads;
-
Educational materials;
-
Email communications;

SMS and MMS text-message communications; and

Other digital content or online resources made available by ABFI LLC.
Paid accounting, bookkeeping, payroll, controller, advisory, financial-management, administrative, human-resources, or related services are governed by a separate written service or engagement agreement.
If these Terms conflict with a signed client agreement, the signed client agreement will control with respect to the services covered by that agreement.
3. General Information; No Professional Relationship
Website content, online presentations, downloadable materials, text messages, emails, and other general communications are provided for informational and educational purposes unless expressly stated otherwise in a signed agreement.
Use of the Website, submission of a form, attendance at a meeting, receipt of a text message, or receipt of general information does not by itself create an accountant-client, consultant-client, fiduciary, payroll-provider, tax-adviser, attorney-client, or other professional relationship.
ABFI LLC does not provide legal services or legal advice.
Unless expressly stated in a signed engagement agreement, ABFI LLC does not provide tax-return preparation, audit, attestation, or certified public accounting services.
Tax preparation, tax filing, audits, attestations, and other services that must be performed by a licensed Certified Public Accountant or other licensed professional are performed by independent licensed professionals engaged directly by the client when applicable.
ABFI LLC may assist clients with tax readiness, record maintenance, document organization, financial reporting, and coordination with independent licensed professionals.
4. No Reliance; Information May Change
Business, accounting, payroll, tax, technology, and regulatory information may change over time.
Although ABFI LLC seeks to provide useful and accurate information, ABFI LLC does not guarantee that all Website content, online materials, messages, presentations, or other information will be complete, current, error-free, or suitable for a particular person, organization, or situation.
You are responsible for obtaining professional advice based on your specific circumstances before acting on general information provided through the Website, an online meeting, email, text message, recording, download, or other online resource.
5. Online Meetings, Recordings, Transcripts, and Automated Tools
ABFI LLC may use online meeting platforms, including Zoom or similar providers, for prospect, client, educational, training, and internal meetings.
A meeting invitation, registration page, or notice may include additional terms or disclosures.
Where disclosed and permitted by applicable law, a meeting may be recorded, transcribed, summarized, or processed using automated or artificial-intelligence tools for purposes such as:

Documentation;

Note preparation;
-
Quality assurance;
-
Training;
-
Security;
-
Follow-up;
-
Recordkeeping; and
-
Other legitimate business purposes.
ABFI LLC will obtain consent to recording or transcription when consent is required by applicable law.
You should not disclose confidential, sensitive, personal, financial, or proprietary information during a meeting unless you are authorized to disclose that information and believe the method of communication is appropriate.
Access to a meeting or recording may be restricted, revoked, password-protected, or limited to invited participants.
You may not record, reproduce, publish, distribute, sell, modify, or create derivative works from an ABFI LLC meeting, recording, transcript, or presentation without ABFI LLC’s prior written permission, except where applicable law provides otherwise.
6. User Responsibilities and Acceptable Use
You agree not to use the Website or any ABFI LLC online resource to:

Violate any applicable law or regulation;

Infringe intellectual-property, privacy, confidentiality, contractual, or other rights;

Transmit malicious software, code, files, or programs;

Attempt to gain unauthorized access to any account, system, network, or information;

Interfere with or disrupt the operation or security of a service;

Impersonate another person or organization;

Submit false, fraudulent, misleading, or unauthorized information;

Scrape, harvest, extract, or collect information without authorization;

Send spam, unsolicited messages, or unlawful communications;

Use ABFI LLC content to train, develop, test, or operate an automated or artificial-intelligence system without ABFI LLC’s prior written permission; or
-
Assist another person in engaging in prohibited conduct.
You are responsible for the accuracy, completeness, and lawfulness of information you submit.
You are also responsible for maintaining the confidentiality of meeting links, passwords, access codes, portal credentials, and other access information provided to you.
7. Intellectual Property
Unless otherwise stated, the Website, ABFI LLC name and branding, logos, text, graphics, forms, training materials, presentations, videos, recordings, downloads, processes, methods, designs, and other content are owned by or licensed to ABFI LLC and are protected by applicable intellectual-property laws.
ABFI LLC grants you a limited, revocable, nonexclusive, nontransferable license to access and use publicly available content for your own lawful informational or internal business purposes.
You may not copy, reproduce, republish, distribute, sell, license, modify, display, transmit, create derivative works from, or commercially exploit ABFI LLC content without ABFI LLC’s prior written permission.
No ownership interest or other right is transferred to you except for the limited permission expressly provided in these Terms.
8. Submissions and Feedback
Information submitted through contact, consultation, qualification, scheduling, assessment, registration, or other forms will be handled in accordance with the ABFI LLC Privacy Policy and any applicable signed agreement.
You represent that you are authorized to provide all information you submit.
Do not submit information belonging to another person unless you have authority or permission to provide it.
If you voluntarily provide nonconfidential suggestions, ideas, comments, or feedback concerning ABFI LLC’s services or online resources, you grant ABFI LLC permission to use that feedback without restriction or compensation.
This permission does not authorize ABFI LLC to disclose confidential client information or protected personal information contrary to its legal or contractual obligations.
9. Third-Party Services and Links
The Website and ABFI LLC online resources may use, integrate with, or link to third-party services, including:

Third-party services are governed by their own terms, policies, availability, and privacy practices.
ABFI LLCdoes not control and is not responsible for the content, availability, functionality, security, accuracy, or practices of third-party services.
The inclusion of a link, reference, or integration does not necessarily constitute an endorsement or guarantee by ABFI LLC.
10. Privacy
ABFI LLC’s collection, use, disclosure, storage, and protection of personal information through the Website and general online resources are described in the ABFI LLC Privacy Policy, available at:

Additional privacy, confidentiality, data-security, or recordkeeping obligations may apply under a signed client agreement.
11. Electronic Communications and SMS/MMS Messaging Terms
11.1 General Electronic Communications
When you contact ABFI LLC electronically, submit an online form, register for a meeting, schedule a consultation, or otherwise communicate through an online service, you consent to receive emails and other electronic communications reasonably related to that interaction.
You are responsible for providing accurate and current contact information and for retaining copies of communications you need.
Submitting a form, providing a telephone number, sending ABFI LLC a text message, or consenting to receive email communications does not, by itself, constitute consent to receive recurring SMS or MMS messages.
Consent to receive recurring text messages is collected separately through a clear opt-in process.
11.2 ABFI LLC SMS/MMS Messaging Program
The ABFI LLC SMS and MMS messaging program is operated by ABFI LLC.
Individuals who expressly opt in may receive non-marketing text messages concerning:

Responses to inquiries;

Consultation requests;

Consultation scheduling;

Appointment confirmations and reminders;

Rescheduling or cancellation notices;

Customer-support communications;

Document or information requests;

Client onboarding;

Other communications directly related to a request, appointment, transaction, service, or existing business relationship.
Individuals who separately opt in to marketing text messages may receive messages concerning:

Invitations to webinars, meetings, or events; and

Marketing and non-marketing text-message consent are separate.
ABFI LLC will send only the categories of text messages for which the individual has provided consent.
11.3 Consent to Receive Text Messages
For the website messaging campaign described in these Terms, ABFI LLC collects SMS and MMS consent through the LeadConnector chat widget located on the ABFI LLC website.
Users who open the chat widget may voluntarily provide their mobile telephone number and select one or both of the following separate consent choices:

An optional, initially unchecked checkbox for non-marketing text messages concerning inquiries, consultation scheduling, appointment reminders, customer support, document requests, service coordination, and related follow-up.

A separate optional, initially unchecked checkbox for marketing text messages concerning ABFI LLC services, educational updates, event invitations, special offers, promotions, and service announcements.
Users may select either checkbox, both checkboxes, or neither checkbox. Neither consent checkbox is preselected or required to submit an inquiry, use the chat widget, schedule a consultation, purchase services, or otherwise do business with ABFI LLC.
Providing a telephone number, opening the chat widget, submitting another website form, or communicating with ABFI LLC does not by itself constitute consent to receive recurring SMS or MMS messages.
ABFI LLC will send only the categories of messages affirmatively selected by the user. Marketing consent is separate from non-marketing consent and will not be treated as consent to receive another category of messages.
By selecting an SMS consent checkbox, the user confirms that the user is the subscriber or customary user of the telephone number provided and is authorized to provide consent for that number.
11.4 Message Frequency
Message frequency varies.
The number and frequency of messages you receive will depend on:

The types of messages you selected;

Your inquiries or requests;

Scheduled consultations or appointments;
-
Your communications with ABFI LLC;
-
Your service or account activity;
-
Document requests;
-
Customer-support activity; and
-
Whether you separately consented to receive marketing communications.
Message frequency may increase during active scheduling, onboarding, document collection, service delivery, account support, or time-sensitive communications.
ABFI LLC does not guarantee that you will receive a particular number of messages.
11.5 Message and Data Rates
Message and data rates may apply to messages sent to you by ABFI LLC and to messages you send to ABFI LLC.
Charges are determined by your mobile carrier and your wireless-service plan.
ABFI LLC is not responsible for charges imposed by your mobile carrier.
Contact your wireless provider if you have questions about your text-message, multimedia-message, or data plan.
11.6 Opting Out
You may cancel or withdraw your consent to receive SMS or MMS messages at any time by replying STOP to a text message received from ABFI LLC .
After ABFI LLC receives your STOP request, ABFI LLC will send a confirmation message stating that you have been unsubscribed.
After the confirmation message is sent, you will no longer receive SMS or MMS messages from the applicable ABFI LLC messaging program unless you later opt in again.
ABFI LLC may recognize additional standard opt-out keywords where supported, but replying STOP is the recommended method.
To rejoin the messaging program after opting out, you must complete the applicable opt-in process again.
An SMS opt-out applies to SMS and MMS messages from the applicable messaging program. It does not necessarily prevent ABFI LLC from communicating with you through:

Email;

Telephone calls;
-
Postal mail;
-
Secure client portals;
-
Online meeting platforms; or
-
Other legally permitted methods.
ABFI LLC may continue to contact you through other methods when reasonably necessary to respond to your request, comply with a legal obligation, protect security, or provide services under an applicable agreement.
11.7 Help and Customer Support

11.8 Carrier Responsibility and Message Delivery
Wireless carriers are not liable for delayed or undelivered messages.
Message delivery depends on effective transmission by your wireless carrier, device availability, network coverage, service availability, and other circumstances outside ABFI LLC LLC’s control.
ABFI LLC does not guarantee that a message will be delivered within a particular period or that every message will be successfully delivered.
11.9 Privacy and Mobile Information
ABFI LLC handles personal information, mobile telephone numbers, SMS opt-in information, text-message consent records, and messaging activity in accordance with the ABFI LLC Privacy Policy:

ABFI LLC does not sell, rent, or share mobile telephone numbers, SMS opt-in information, or text-message consent records with third parties or affiliates for their own marketing or promotional purposes.
ABFI LLC may provide mobile information to service providers only when reasonably necessary to operate or support ABFI LLC’s communications, customer service, scheduling, technology systems, or business services.
Such service providers may use the information only to perform services for ABFI LLC and may not use it for their own independent marketing purposes.
Text-messaging originator opt-in data and consent will not be shared with third parties or affiliates for marketing or promotional purposes.
11.10 Changes to the Messaging Program
ABFI LLC may modify, suspend, or discontinue all or part of the messaging program when reasonably necessary for operational, security, legal, regulatory, carrier, technology, or compliance reasons.
ABFI LLC may change the telephone number or technology used to operate the messaging program.
Where reasonably practicable, ABFI LLC will provide notice of material changes affecting current subscribers.

12. Marketing Communications
ABFI LLC may send marketing emails or text messages only as permitted by applicable law and consistent with the consent provided by the recipient.
Marketing text-message consent is separate from consent to receive non-marketing or service-related text messages.
You may unsubscribe from marketing email communications by using the unsubscribe instructions included in the email.
You may unsubscribe from SMS or MMS marketing communications by replying STOP to the applicable message.
Unsubscribing from marketing communications does not necessarily prevent ABFI LLC from sending non-marketing communications that are reasonably necessary to respond to a request, administer an existing relationship, provide contracted services, or comply with applicable law.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL ONLINE RESOURCES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ABFI LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

COMPLETENESS;

MERCHANTABILITY;

FITNESS FOR A PARTICULAR PURPOSE;

NON-INFRINGEMENT;

ABFI LLC does not warrant that the Website, online meetings, recordings, downloads, messages, files, third-party integrations, or other online resources will be error-free, uninterrupted, secure, current, or free from viruses or other harmful components.
ABFI LLC does not guarantee any particular financial, operational, accounting, tax, business, or other outcome from the use of general information or online resources.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABFI LLC AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR:

DAMAGES ARISING FROM RELIANCE ON GENERAL INFORMATION, USE OF OR INABILITY TO USE AN ONLINE RESOURCE, MESSAGE DELIVERY FAILURE, OR USE OF A THIRD-PARTY SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABFI LLC’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PUBLIC ONLINE RESOURCES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
This limitation does not apply to liability that cannot lawfully be excluded or limited.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ABFI LLC and its owners, members, managers, employees, contractors, representatives, and agents from claims, liabilities, damages, losses, judgments, penalties, expenses, and reasonable legal costs arising from:

Your unlawful or unauthorized use of the Website or online resources;

Your infringement of another person’s rights;

Your misuse of meeting access information, recordings, messages, or materials; or

Your violation of applicable law.
16. Suspension and Termination
ABFI LLC may restrict, suspend, or terminate access to the Website, an online meeting, a recording, a download, a messaging program, or another online resource when reasonably necessary to:

Protect security;

Protect confidentiality;

Prevent fraud or misuse;

Comply with applicable law;
-
Comply with carrier or technology-provider requirements;
-
Protect other users;
-
Protect ABFI LLC’s rights; or
-
Enforce these Terms.
Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
17. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles.
Subject to any different controlling provision in a signed agreement, any legal action arising from or relating to these Terms will be brought in a state or federal court having jurisdiction in or over Campbell County, Virginia.
The parties consent to the personal jurisdiction and venue of those courts.
18. Changes to These Terms
ABFI LLC may update these Terms from time to time.
The revised Terms will be posted on the Website with an updated effective date.
Changes apply prospectively when posted unless a different effective date is stated.
Your continued use of the Website or applicable online resources after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
Changes to SMS or MMS terms will not replace any consent required by applicable law.
19. Severability; Waiver; Assignment; Entire Terms
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable where permitted by law.
ABFI LLC’s failure to enforce a provision is not a waiver of that provision or any other provision.
You may not assign or transfer your rights or obligations under these Terms without ABFI LLC ’s prior written permission.
ABFI LLC may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of its business.
These Terms and the Privacy Policy constitute the entire agreement concerning use of the public Website and general online resources, except where a signed client, service, engagement, confidentiality, or other agreement provides additional or controlling terms.
